Merci Technologies, Inc. is a U.S.-based IT staffing and cybersecurity workforce solutions firm headquartered in Atlanta, Georgia. Our Site provides information about our staffing services, career opportunities, and business partnerships. These Terms apply to all visitors, users, candidates, and organizations interacting with our Site or online systems.

Merci Technologies, Inc. reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site with an updated effective date. 3. Intellectual Property Rights
All content on this Site, including but not limited to text, graphics, logos, icons, images, software code, visual design, and the Perly AI assistant interface, is the exclusive property of Merci Technologies, Inc. or its authorized licensors and is protected under applicable US and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any content from this Site without the prior written consent of Merci Technologies, Inc., except for personal, non-commercial use as permitted by these Terms.
4. Permitted & Prohibited Use
You may use the Site for lawful purposes only. You agree not to:
- Violate any applicable local, state, national, or international law or regulation.
- Transmit unsolicited or unauthorized advertising, spam, or promotional material.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Attempt to gain unauthorized access to any part of the Site or its related systems or networks.
- Use automated tools, bots, scrapers, or data mining techniques to extract content from the Site.
- Interfere with or disrupt the integrity, security, or performance of the Site or its infrastructure.
- Upload or transmit viruses, malware, or any other malicious or technologically harmful material.

5. Perly AI Assistant
The Perly chatbot is an AI-powered assistant operated using Anthropic’s API. By interacting with Perly, you acknowledge and agree that:
- Perly’s responses are generated by an artificial intelligence model and are provided for general informational and inquiry purposes only.
- Perly’s responses do not constitute legal, financial, HR, cybersecurity, or any other form of professional advice.
- You should not rely on Perly’s responses as a substitute for qualified professional advice.
- Merci Technologies, Inc. is not liable for any actions taken or decisions made based on Perly’s outputs.
- Interactions with Perly may be processed by Anthropic, Inc. in accordance with their applicable Privacy Policy.
6. Disclaimer of Warranties
The Site and its content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Merci Technologies, Inc. does not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Site will be accurate or reliable; or (c) any errors in the Site will be corrected.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Merci Technologies, Inc., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or related to your access to or use of (or inability to access or use) the Site or its content, even if Merci Technologies has been advised of the possibility of such damages.
This includes but is not limited to: technical errors or inaccuracies on the Site; unauthorized access to or alteration of user data; losses caused by malware, cyber incidents, or service interruptions beyond our control.
In no event shall our total aggregate liability exceed one hundred US dollars ($100).
8. Indemnification
You agree to defend, indemnify, and hold harmless Merci Technologies, Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit through the Site.
9. Third-Party Links and External Websites
The Site may contain links to third-party websites or services that are not owned or controlled by Merci Technologies, Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.
10. DMCA / Copyright Infringement
If you believe that content on this Site infringes your copyright, please send a written notice to legal@merciit.com including: (a) a description of the copyrighted work; (b) the URL where the infringing content appears; (c) your contact information; (d) a statement of good-faith belief; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.
11. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site, the parties agree to first attempt to resolve the matter through good-faith negotiation. If unresolved within 30 days, the parties agree to pursue non-binding mediation before initiating litigation. Any legal action shall be subject to the governing law and venue provisions in Section 12.
12. Governing Law & Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Georgia, and you hereby consent to personal jurisdiction and venue in such courts.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Merci Technologies, Inc. regarding your use of the Site and supersede all prior agreements, representations, and understandings, whether written or oral.
